NodQR Terms of Service

1. About us
NodQR is a service for creating, managing and tracking QR codes and short links. It is provided by NOD88 Ltd, a company registered in England and Wales (company number 17381626), whose registered office is at 30 High Street, Chepstow, Wales, NP16 5LJ ("NOD88", "we", "us", "our").

2. These terms
These terms apply when you sign up for or use NodQR, including the website at nodqr.com, the short link domain nqr.io, our API and any integrations such as our Zapier app (together, "the Service").
By creating an account, you agree to these terms. If you use NodQR on behalf of a business or other organisation, you confirm that you have the authority to accept these terms for it, and "you" includes that organisation.
You must be at least 18 years old to create an account.
Some parts of these terms apply differently depending on whether you are a consumer (using NodQR mainly for purposes outside your trade, business or profession) or a business customer. Where that is the case, we say so. Nothing in these terms affects your statutory rights as a consumer.
3. Accounts and organisations
Your login. You need an account to use NodQR. Keep your password safe and tell us straight away if you think someone else has accessed your account.
Organisations. Links, folders, tags, brand kits and scan data belong to an organisation, not to an individual user. One login can belong to several organisations. Each organisation has its own plan and its own billing.
Roles. Organisations have owners and members. Owners have full control of the organisation, including its team, billing and settings, and an organisation can have several owners. Members can create and manage links. Owners are responsible for their organisation, including who they invite and what those people do in it. Every organisation must have at least one owner.
Accuracy. Please keep your account details, including your email address, accurate and up to date.
4. Plans and limits
Plans. NodQR offers a Free plan and paid plans. Current plans, prices and limits are shown on our pricing page. Every plan includes the full product; plans differ in how many links and team members (seats) you can have.
Links. QR codes and short URLs count together towards your plan's link allowance. Archived links still count, because they keep working. Deleting a link frees up its place.
Seats. Members and pending invitations count towards your plan's seat allowance.
Fair use. Plans are designed for normal business use. We may limit or contact you about use that is automated, excessive or likely to affect the Service for other customers, such as creating links in bulk by script beyond what your plan allows.
5. Prices and payment
Currency. Prices are shown and charged in pounds sterling (GBP), euros (EUR) or US dollars (USD), based on your location, and you can choose a different one of these before you subscribe. Your subscription stays in the currency you chose. If your card is in another currency, your bank may apply its own exchange rate and fees.
Taxes. NOD88 Ltd is not currently registered for VAT, so no UK VAT is added to our prices. If sales tax or VAT is due in your country, it will be shown at checkout before you pay.
Billing. Paid plans are billed in advance, either monthly or yearly, and renew automatically at the end of each period until cancelled. Yearly plans cost less than paying monthly for twelve months. Payments are processed by our payment provider; we do not store your full card details.
Price changes. We may change our prices. We will tell you at least 30 days before a new price applies to your plan, and you can cancel before it does.
Changing plan. You can upgrade or downgrade at any time. When you downgrade, you must first bring your links and seats within the new plan's limits.
6. Cancelling
Any time. You can cancel a paid plan at any time from your account settings. There is no notice period and no minimum term beyond the period you have already paid for. Your plan stays active until the end of that period (the end of the month for monthly plans, or the end of the year for yearly plans) and does not renew after that.
Consumers: 14-day cancellation right. If you are a consumer, you can cancel within 14 days of first taking out a paid plan and receive a full refund of that first payment. To do this, cancel from your account settings or email hello@nodqr.com.
Refunds. Apart from the 14-day right above, and except where the law requires otherwise, payments are not refunded for part-used periods, including the unused months of a yearly plan.
Free plan. You can stop using the Free plan and delete your organisation at any time.
7. If a paid plan ends or payment fails
Your printed QR codes and shared links point at NodQR, so we handle the end of a subscription carefully:
- Grace period. If a payment fails or a paid plan is cancelled and not replaced, your organisation enters a 30-day grace period. During it, all your links keep redirecting normally. We will email the organisation's owners.
- Inactive. After the grace period, your organisation becomes inactive. Your account becomes read-only, and anyone scanning your QR codes or opening your short links sees a NodQR page explaining that the link is currently inactive, rather than your destination.
- Reactivating. If you resubscribe at any time while your data is still held, everything is restored straight away, with the same links and settings.
- Deletion. If an organisation stays inactive for 12 months, we may permanently delete it, including its links and scan data. We will email the owners before we do.
Static copies. When you cancel, you can download static versions of your QR codes that point directly at your destinations, for use in future print runs. Static codes do not depend on NodQR, but they cannot be edited or tracked. Codes you have already printed will still point at NodQR.
8. Your content
What's yours. You keep ownership of everything you add to NodQR, including destination links, names, tags, logos and brand settings ("Your Content").
Permission to use it. You give us permission to store, copy, process and display Your Content only as needed to provide, secure and improve the Service. For example, we need to display your logo on your QR codes and redirect visitors to your destination links.
Your responsibility. You are responsible for Your Content and for making sure you have the right to use it, including any logos, trade marks and brand names. You are responsible for the content of the websites your links point to.
9. Acceptable use
You must not use NodQR, or allow anyone else to use it, to:
- link to phishing pages, malware, scams or other deceptive or fraudulent content;
- disguise where a link goes in order to mislead people;
- link to content that is illegal, or that promotes violence, hatred or the exploitation of anyone;
- send spam, or use links in unsolicited bulk messages;
- infringe anyone's intellectual property, privacy or other rights, including by impersonating another person, business or brand;
- try to get round plan limits, security measures or other restrictions, including by creating multiple free accounts;
- interfere with or disrupt the Service or other customers, or attempt to access data that isn't yours; or
- use the Service in breach of any law or regulation.
We may check destination links against safety and abuse databases. If we believe a link breaks these rules, we may disable it immediately, without notice, to protect the people who scan or click it. Where appropriate, we will tell you and explain why.
10. Custom back-halves
Custom back-halves (for example nqr.io/summer-open-house) are allocated on a first-come, first-served basis. Once used, a back-half stays reserved to your organisation, even if you later delete it, so nobody else can take over a link you have shared.
We may refuse or withdraw a back-half if it is offensive, misleading, infringes someone's rights (for example a brand name you have no right to use) or clashes with words we reserve for the Service. If we withdraw one, we will tell you, and your link's standard address will keep working.
11. API and integrations
If you use our API or integrations such as Zapier, keep your API keys secret and revoke any key you think has been exposed. You are responsible for all activity carried out with your organisation's API keys. We may apply rate limits to keep the Service reliable. Use of third-party services such as Zapier is also subject to their own terms.
12. Availability and changes
We work hard to keep NodQR, and in particular link redirects, fast and available at all times. However, we cannot promise the Service will always be uninterrupted or error-free. We may need to carry out maintenance, and we may be affected by events outside our control, such as failures at our hosting or network providers.
We continually improve NodQR and may change or remove features. If we make a change that significantly reduces what your paid plan includes, we will tell you in advance, and you can cancel.
13. Our intellectual property
NodQR, including its software, design, name and logo, belongs to NOD88 Ltd or our licensors. These terms give you the right to use the Service while your account is active; they do not give you any other rights in it. QR code images you create with NodQR are yours to use freely.
14. Privacy and data protection
Our Privacy Policy explains how we use personal data, including the data we collect when people scan your QR codes or open your short links.
If you are a business customer, the Data Processing Terms at the end of these terms also apply to the scan data we process on your behalf.
15. Our liability
Things we never limit. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded.
If you are a consumer. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss or damage that was not foreseeable.
If you are a business customer:
- we are not liable for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
- we are not liable for the cost of reprinting or replacing materials carrying QR codes or links, except where the loss results from our deliberate breach of these terms; and
- our total liability to you in any 12-month period is limited to the greater of the amount you paid us for the Service in that period and US$100.
Your destinations. We are not responsible for the content, availability or behaviour of the websites your links point to.
16. Suspension and closure
By you. You can close your organisation or account at any time from your settings.
By us. We may suspend or close your account, or disable specific links, if you seriously or repeatedly break these terms, if you don't pay, if required by law, or if we reasonably need to in order to protect other customers, the people scanning your codes, or the Service. Where we can, we will give you notice and a chance to put things right first.
If we stop offering NodQR. If we ever decide to close the Service, we will give you at least 90 days' notice, refund any payments for periods after the closure date, and help you move to static codes.
17. Changes to these terms
We may update these terms from time to time. If a change materially affects you, we will tell you by email or in the app at least 30 days before it takes effect. If you do not agree, you can cancel before the change applies. The current version will always be available at nodqr.com/terms.
18. General
Transfer. We may transfer our rights and obligations under these terms to another organisation, for example if our business is sold, and we will tell you if this happens. Your rights under these terms will not be affected.
Nobody else has rights. These terms are between you and us. No other person has any rights to enforce them.
If part is invalid. If a court decides that part of these terms is invalid, the rest will still apply.
Delay. If we delay in enforcing these terms, we can still enforce them later.
Law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.

Data Processing Terms (business customers)
These terms form part of the Terms of Service and apply where NOD88 processes personal data on behalf of a business customer, in line with Article 28 of the UK GDPR (and the EU GDPR where it applies).
1. Roles. For scan data (information recorded when someone scans one of your QR codes or opens one of your short links) and personal data in Your Content, you are the controller and NOD88 is the processor. For account, billing and service-security data, NOD88 is the controller, as described in our Privacy Policy.
2. What we process. Scan data consists of the date and time of each scan, the link scanned, approximate location (country and city) derived from the network connection, device type, operating system, browser, the referring page where available, and a visitor identifier created by one-way hashing the visitor's IP address and browser details with a value that changes daily and is then deleted. We do not store scanners' IP addresses. We process scan data for as long as you keep the link, in order to provide your redirects and reports.
3. Your instructions. We process this data only to provide the Service and on your documented instructions, which are these terms and your use of the Service's settings, unless the law requires otherwise. We will tell you if we believe an instruction breaks data protection law.
4. Confidentiality. Anyone at NOD88 who can access this data is bound by confidentiality.
5. Security. We use appropriate technical and organisational measures to protect the data, including encryption in transit, access controls that separate each organisation's data, and not storing IP addresses.
6. Sub-processors. You authorise us to use sub-processors to provide the Service. The categories are described in our Privacy Policy, and the current list is available on request from privacy@nodqr.com. We will give you notice of any new sub-processor by email, and you may object on reasonable grounds. We impose data protection obligations on sub-processors equivalent to these terms and remain responsible for them.
7. International transfers. Where a sub-processor processes data outside the UK, we make sure an appropriate safeguard is in place, such as UK adequacy regulations or the UK International Data Transfer Agreement or Addendum.
8. Helping you. Taking into account the information available to us, we will help you respond to requests from individuals exercising their rights, and with your security, breach notification and data protection impact assessment obligations.
9. Breaches. We will tell you without undue delay after becoming aware of a personal data breach affecting your data, with the information you reasonably need.
10. End of service. When you delete links, their scan data is deleted. When your organisation is deleted, we delete its personal data, apart from any copies we are required by law to keep. Data in backups is removed as the backups expire.
11. Audits. We will make available the information reasonably necessary to show we comply with these terms, and allow for audits by you or an auditor you appoint on reasonable notice, at your cost, no more than once a year unless required by a regulator.
12. Your responsibilities. You are responsible for having a lawful basis for collecting scan data and for telling people about it where required, for example in your own privacy notice.
